Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the Blue Indie Row website and your purchase or use of services provided by Blue Indie Row (“Blue Indie Row,” “we,” “us,” or “our”).
By using our website, submitting an inquiry, booking a service, paying an invoice, or engaging Blue Indie Row for services, you acknowledge that you have read and agree to these Terms, together with any applicable proposal, invoice, service agreement, production agreement, or other written agreement provided for your project.
1. Our Services
Blue Indie Row is a creative media and production company providing services that may include:
Podcast production and interviews
Legacy Films and documentary-style productions
Commercial and promotional video production
Photography and digital media
Creative strategy and content production
Event coordination and event-related services
Marketing and promotional content
Other creative services agreed upon in writing
Specific services, deliverables, pricing, timelines, and responsibilities will be outlined in the applicable invoice, proposal, or service agreement.
2. Booking and Payment
A project or service is considered booked when Blue Indie Row receives the required payment, deposit, signed agreement, or other confirmation specified for the project.
Payment terms will be stated on the applicable invoice or agreement.
Unless otherwise agreed in writing, all invoices are due according to the payment terms stated on the invoice.
Blue Indie Row reserves the right to pause or withhold services or deliverables when required payments are overdue.
3. Deposits and Non-Refundable Payments
Certain deposits, booking fees, production fees, or other payments may be non-refundable because they reserve production time, equipment, locations, personnel, or other resources.
Any applicable cancellation, refund, or rescheduling terms will be stated in the applicable proposal, invoice, or service agreement.
4. Cancellations and Rescheduling
Clients should provide notice as soon as possible if they need to cancel or reschedule a service.
Rescheduling may be subject to availability and additional fees depending on the circumstances.
For productions involving multiple vendors, locations, contractors, or scheduled production days, cancellation or rescheduling terms may be addressed separately in the applicable agreement.
5. Client Responsibilities
Clients are responsible for providing accurate information, approvals, materials, access, and instructions reasonably necessary for Blue Indie Row to complete the project.
Clients are also responsible for obtaining permission to use any photographs, music, trademarks, logos, documents, footage, or other materials they provide to Blue Indie Row.
The client represents that they have the necessary rights and permissions to provide such materials.
6. Creative Direction and Revisions
Creative projects may involve artistic and editorial decisions regarding design, storytelling, filming, editing, photography, audio, graphics, and other production elements.
The scope of included revisions will be determined by the applicable proposal, invoice, or service agreement.
Additional revisions or work outside the agreed scope may result in additional charges.
7. Podcast and Media Production
For podcast episodes, interviews, Legacy Films, commercials, and other media productions, final content may be edited for length, clarity, pacing, sound quality, visual presentation, storytelling, and other production considerations.
Blue Indie Row may make reasonable editorial and production decisions consistent with the agreed project scope.
Final deliverables will be provided according to the agreed production timeline and format.
8. Event Coordination
When Blue Indie Row provides event coordination services, our responsibilities may include logistics, scheduling, vendor coordination, event setup and breakdown oversight, creative concept support, and on-site execution.
Blue Indie Row does not guarantee the performance, availability, pricing, conduct, or actions of independent third-party vendors.
Unless specifically agreed otherwise, clients remain responsible for contracts, payments, permits, insurance, and obligations owed directly to third-party vendors.
9. Third-Party Vendors
Blue Indie Row may coordinate with independent contractors and third-party vendors, including caterers, DJs, bartenders, photographers, videographers, decorators, rental companies, audiovisual providers, venues, and other service providers.
Third-party vendors operate independently and may have their own contracts, cancellation policies, fees, and terms.
Blue Indie Row is not responsible for circumstances caused by a third-party vendor that are outside our reasonable control.
10. Intellectual Property
Unless otherwise stated in writing, Blue Indie Row retains ownership of its original creative processes, concepts, templates, production methods, working files, project files, and other pre-existing intellectual property.
Upon receipt of full payment, the client receives the rights to use the final deliverables according to the scope and terms agreed upon for the project.
Raw footage, source files, project files, editable files, and unused materials are not automatically included unless specifically stated in writing.
11. Client Materials and Trademarks
Clients retain ownership of materials, trademarks, logos, photographs, recordings, written content, and other intellectual property they provide to Blue Indie Row.
Clients grant Blue Indie Row the permission reasonably necessary to use those materials to perform the contracted services.
12. Portfolio and Promotional Use
Unless otherwise agreed in writing, Blue Indie Row may identify completed projects and clients in its portfolio, website, social media, marketing materials, presentations, or promotional materials.
If a project requires confidentiality or cannot be publicly displayed, the client should notify Blue Indie Row in writing before production or as otherwise agreed in the applicable contract.
13. Confidentiality
Blue Indie Row will make reasonable efforts to protect confidential information provided by clients.
Information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law may not be considered confidential.
Specific confidentiality requirements may be established through a separate confidentiality or nondisclosure agreement.
14. Website Use
You agree not to use the Blue Indie Row website for unlawful purposes or in a manner that could damage, disable, overburden, or interfere with the website or its operation.
Website content, including text, graphics, logos, photographs, videos, branding, and other original materials, may not be copied, reproduced, distributed, or commercially exploited without permission unless otherwise permitted by law.
15. Accuracy of Website Information
Blue Indie Row makes reasonable efforts to keep website information accurate and current. However, descriptions, pricing, availability, services, and other information may change without notice.
A specific proposal, invoice, or signed agreement will control over general website descriptions when the two differ.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Blue Indie Row will not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our website or services.
Blue Indie Row's total liability relating to a specific service or project will, to the extent permitted by law, be limited to the amount actually paid by the client for that specific service.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited.
17. Force Majeure
Blue Indie Row will not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control, including severe weather, natural disasters, government actions, power outages, internet or technology failures, illness, emergencies, venue closures, transportation disruptions, labor disruptions, or other unforeseen circumstances.
When reasonably possible, we will work with the client to reschedule or identify an appropriate alternative.
18. Indemnification
To the extent permitted by law, clients agree to indemnify and hold Blue Indie Row harmless from claims, damages, liabilities, or expenses arising from materials supplied by the client, the client's violation of third-party rights, or the client's breach of these Terms or an applicable service agreement.
19. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any dispute will be handled in accordance with applicable Texas law and any venue or dispute-resolution provisions contained in the applicable service agreement.
20. Changes to These Terms
Blue Indie Row may update these Terms from time to time. The updated version will be posted on this website with a revised Effective Date.
Continued use of the website after changes are posted constitutes acceptance of the updated Terms to the extent permitted by law.
